These Terms of Service ("Terms") govern your access to and use of the ElderDial AI-powered daily check-in call service and SMS-based account management platform (the "Service") operated by ElderDial ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
ElderDial provides an AI-powered care-coordination service that:
- Places automated daily check-in phone calls to elderly adults on behalf of their designated caregivers or family members
- Delivers personalized reminders (medication, appointments, and custom reminders) during check-in calls
- Enables account creation, configuration, and management via SMS text messaging
- Provides caregiver notifications and alerts regarding client well-being
- Generates and stores call transcripts for caregiver review
The Service uses artificial intelligence to conduct phone conversations and process text messages. The Service is not a substitute for professional medical care, emergency services, or in-person caregiving.
2. Eligibility
You must be at least 18 years old to create an account and use the Service as a caregiver. By creating an account, you represent that you have the legal authority to act on behalf of the elderly client for whom you are arranging check-in calls.
3. Account Registration and Management
3.1 Account Creation via SMS
Accounts are created and managed by sending text messages to our designated service phone number. When you text our service number to create an account, you are providing your consent to receive SMS messages from ElderDial related to account setup, management, and service notifications.
3.2 Account Information
You are responsible for providing accurate and complete information during account setup, including:
- Your contact phone number and email address
- The elderly client's phone number
- The client's name, biographical details, and any relevant health or personal information
- Preferred call schedule and timezone
You agree to update this information promptly if it changes.
3.3 Caregiver Responsibility
As a caregiver, you are responsible for:
- Obtaining appropriate consent from the elderly client before enrolling them in the Service
- Informing the elderly client that they will receive automated AI phone calls
- Informing the elderly client that calls and messages are recorded and monitored
- Ensuring the information you provide about the client is accurate
4. Consent for Automated Communications
By using the Service, you expressly consent to receive automated and AI-generated phone calls and SMS text messages from ElderDial at the phone number(s) you provide. These communications are integral to the Service and include daily check-in calls to elderly clients and SMS messages to caregivers for account management and notifications.
4.1 Consent for Phone Calls
- Automated AI check-in calls are placed to the elderly client's phone number at the schedule configured by the caregiver
- The elderly client may revoke consent for automated calls at any time by stating so verbally during any call
- The caregiver may also revoke call consent by texting our service number
- If consent is revoked, no further outbound calls will be placed to that client
4.2 Consent for SMS Text Messages
- By texting our service number, you opt in to receive SMS messages from ElderDial
- SMS messages are used for account creation, account management, service confirmations, and caregiver notifications
- Message frequency varies depending on your interactions; typically 1–10 messages per session during account setup and periodic notifications thereafter
- Message and data rates may apply depending on your mobile carrier and plan
- SMS consent is not a condition of purchasing any goods or services
- SMS opt-in consent is not shared with third parties for their marketing purposes
4.3 Opting Out
- You may opt out of SMS messages at any time by replying STOP to any message from our service number. You will receive a one-time confirmation message and no further SMS messages will be sent
- You may opt back in at any time by texting START to our service number

4.4 Supported Carriers
The Service is available on major US mobile carriers including but not limited to AT&T, T-Mobile, Verizon, and Sprint. Carrier support and message delivery are not guaranteed. ElderDial is not responsible for delayed or undelivered messages caused by carrier issues.
5. Recording and Monitoring
All phone calls and text messages processed through the Service are recorded, transcribed, and may be monitored and reviewed for quality assurance, safety, and service improvement purposes by both ElderDial and our partners.
This includes:
- Automated transcription and AI analysis of all phone conversations
- Storage of complete call transcripts and SMS message history
- AI-driven extraction of scheduling requests, consent changes, reminders, and wellness observations from conversations
- Human review of transcripts and messages when necessary for quality assurance, safety, customer support, or dispute resolution
By using the Service, you acknowledge and consent to this recording and monitoring. As a caregiver, you are responsible for informing the elderly client that all calls are recorded and monitored.
6. Payment and Subscriptions
- The Service is offered on a subscription basis. Pricing details are provided during account setup
- Payments are processed securely through Stripe. We do not store your credit card information directly
- Subscriptions renew automatically unless canceled
- You may cancel your subscription at any time by texting our service number or contacting support@elderdial.com
- Refunds are handled on a case-by-case basis at our discretion
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws or regulations
- Enroll any person in the Service without their knowledge or appropriate consent
- Provide false, misleading, or fraudulent information
- Attempt to interfere with, disrupt, or gain unauthorized access to the Service or its systems
- Use the Service to harass, abuse, or harm any person
- Resell, redistribute, or commercially exploit the Service without our written consent
8. Limitations and Disclaimers
8.1 Not a Medical Service
ElderDial is a wellness check-in and reminder service. It is not a medical service, emergency response system, or substitute for professional healthcare. If you or your loved one is experiencing a medical emergency, call 911 or your local emergency number immediately.
8.2 AI Limitations
The Service uses artificial intelligence for phone conversations and text message processing. AI systems may occasionally:
- Misunderstand speech or text input
- Provide inaccurate or inappropriate responses
- Fail to detect signs of distress or emergency situations
ElderDial is not liable for any errors, omissions, or failures of the AI system.
8.3 Service Availability
We strive to maintain reliable service but do not guarantee uninterrupted availability. The Service may be temporarily unavailable due to maintenance, technical issues, carrier outages, or other factors beyond our control.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ELDERDIAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND PARTNERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
10. Indemnification
You agree to indemnify, defend, and hold harmless ElderDial and its partners from and against any claims, liabilities, damages, losses, and expenses arising out of or relating to your use of the Service, your violation of these Terms, or your violation of any rights of another person.
11. Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.
12. Modifications to the Service and Terms
We reserve the right to modify, suspend, or discontinue the Service at any time without prior notice. We may also update these Terms from time to time. Material changes will be posted on this page with a revised "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the updated Terms.
13. Termination
We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including limitations of liability, indemnification, and dispute resolution) will survive.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law provisions. Any disputes arising under these Terms shall be resolved in the courts located in the State of Texas.
